Quayle Munro advises Global University Systems BV on its acquisition of The University of Law

18 June 2015 in News & Insights

Quayle Munro is pleased to announce that it has advised leading education and training group, Global University Systems BV (“GUS”), on its acquisition of The University of Law (“ULaw”), the largest provider of professional legal education and training in the world, from Montagu Private Equity.

Based in Amsterdam, GUS is an international network of higher education institutions with institutions and affiliates across the UK, Canada, Germany and Singapore, educating over 50,000 students from 160 different nationalities. Through its network of schools and partners, GUS provides a wide range of undergraduate, postgraduate, professional, executive and language courses on campus, online and via blended learning.

The acquisition will allow ULaw access to substantial additional capital and enable it to accelerate delivery of existing plans for further growth, diversification, and geographic expansion. Additionally, the arrangement will combine ULaw’s strengths in providing sector-leading student outcomes and employability, with GUS affiliates’ broader subject base, international reach and track-record of innovation.

Immediately post completion, GUS will initiate a strategic options review of all its UK regulated businesses.  This review will consider the optimal structure for the combined ULaw and GUS UK group and will also look at whether existing GUS UK entities can benefit from ULaw's proven approach to quality assurance, enhancement and the attainment of the highest standards of regulatory compliance. This process may see re-alignment of some, or all, of GUS UK’s existing businesses under the umbrella of ULaw, so that, post the review, the ultimate oversight of academic standards, quality systems, processes and practices rests with the University.

Aaron Etingen, Founder and Executive Chairman of Global University Systems, said:

“The acquisition of the University of Law adds an asset of unique strategic value to GUS. The options review exercise will deliver us a blue-print for one of the most comprehensive private universities in Europe. Having ULaw ultimately provide a proven governance and quality framework for GUS’ UK interests is a major benefit to us and will further enhance the impact of our work with students and employers alike.”

Simon Gluckstein, Managing Director at Quayle Munro, said:

“Quayle Munro are delighted to have worked with GUS on such a significant and transformational acquisition. Having acted on the original sale of ULaw to Montagu, we were uniquely placed to understand the key drivers of ULaw’s success and to advise on the financial, structural and academic aspects of the transaction. We look forward to the continued success of ULaw as part of the broader GUS group.”

The transaction adds to Quayle Munro’s strong track record in advising education and training businesses. The team has extensive experience across all major education sub-sectors and has worked on many other notable transactions in this space, including the sales of BPP to Apollo Global, The College of Law to Montagu Private Equity, 7city to Fitch, Espresso to Discovery, GL Education Group to Investcorp, Melorio to Pearson and AVEDAS to Thomson Reuters. Other education clients with whom Quayle Munro has recently worked in the UK and internationally include Cambridge Assessment, City & Guilds, Advent International and Graham Holdings.
